For Buyer to Sign Before Receiving Confidential Business Details

This Confidentiality Agreement is made between Q1 Brokers 39 120 430 875 and the Recipient (“you”).

1. Purpose

You acknowledge that Q1 Brokers may disclose confidential information about a business for sale for the sole purpose of evaluating a potential acquisition.

2. Definition of Confidential Information

Includes but is not limited to:

• Financial statements, leases, supplier agreements
• Staff details, customer data, intellectual property
• Business operation insights not publicly available

3. Recipient’s Obligations

You agree to:

• Keep all information strictly confidential
• Use it only for assessing a potential purchase
• Not disclose it to any third party without written consent (except legal/financial advisers who must also keep it confidential)
• Not contact the owner, staff, suppliers, or customers directly

4. Return or Destruction

Upon request, you must return or destroy all confidential information and copies.

5. Liability

You acknowledge that any breach may result in legal and financial consequences.

6. Term

This agreement remains in effect for 24 months from the date of signing.
